Terms of Service
Both parties, under the principles of voluntariness, equality, and good faith, engage NextGenScholars to provide online teaching services.
Fees and Payment
Service fees are based on the course package purchased on the nextgenscholars.asia website (hereinafter “NGS”). The client’s contact identity is the email address provided at the time of payment.
Client Rights and Obligations

The client and student are entitled to receive the corresponding courses and supporting services according to this agreement and the mutually agreed schedule.
- The client and student may supervise NGS’s services and provide suggestions and feedback.

The client shall pay all service fees as stipulated herein; if payment is not made as agreed, NGS may refuse to provide services.

The client and student warrant that the personal information submitted is true, complete, and valid; any changes must be notified to NGS no later than three (3) days before the change takes effect.

Within the first 3 class hours from the course start date, the client may request a one-time tutor change with NGS; thereafter, the agreement shall be performed as agreed, or NGS may arrange the student into another class of the same level with vacancies, as mutually agreed by both parties.

The student shall attend classes according to the confirmed schedule, check in each session, pay attention in class, and complete homework and tasks on time.

The client and student shall properly keep their learning account and password. NGS is not responsible for any disclosure of personal information caused by password sharing or disclosure to third parties.
- The client and student shall not request any conduct that violates academic integrity from NGS or its staff.

The client and student shall keep strictly confidential the contents of this agreement and any NGS intellectual property, service content, data, course materials, reports, other documents, and the personal information of NGS personnel obtained during the services.
NGS Rights and Obligations
- NGS shall perform the services under this agreement on time, with due quality, diligence, and responsibility.

NGS shall properly safeguard the personal information and materials provided by the client and use, disclose, or process such information in accordance with applicable laws and solely for the purposes of this agreement.

NGS will confirm the tutoring plan and schedule with the student via email and deliver services accordingly. If a schedule adjustment is required, both parties shall confirm the new schedule via email at least 24 hours before the original class time.

During service delivery, NGS will consider reasonable opinions and suggestions and make adjustments or improvements as appropriate.
- To ensure service quality, NGS’s quality control team may conduct periodic phone or email follow-ups.

All intellectual property and other rights in the tutoring courses belong exclusively to NGS. Without prior authorization, the client shall not copy, record, share, monetize, or otherwise engage in activities that infringe relevant IP laws with respect to any resources, including online courses, electronic materials, classroom handouts, etc.

NGS shall not be liable for any personal or financial loss, damage, or injury not caused by NGS’s intentional conduct.
Refund Policy

If, before the course begins, the client requests a refund or termination of this agreement (other than circumstances already provided herein), the client is entitled to a full refund. NGS shall process the refund to the original payment method within 15 business days upon receipt of the client’s written request, after which this agreement terminates.

If, after the first session and before the second session begins, the client is dissatisfied with the course and does not accept a tutor change, the client is entitled to a refund of all remaining class fees after deducting the first session at the trial price of 299 RMB. NGS shall refund to the original payment method within 15 business days upon receipt of the client’s written request, after which this agreement terminates.

Participation in the second session is deemed acceptance of the service quality; thereafter, during the service period, the client may request a change of tutor or service personnel.

For refund or termination requests after the second session (other than circumstances already provided herein):

If attended class hours are ≥ 50% of the contracted hours, fees will be calculated at the discounted unit price under this agreement; the actual incurred class fees will be deducted and the balance refunded.

If attended class hours are < 50% of the contracted hours, fees will be calculated at the original unit price of 900 RMB/hour; the actual incurred class fees will be deducted and the balance refunded.

NGS will refund to the original payment method within 15 business days after receiving the client’s formal refund or termination request; once refunded, this agreement terminates.

If an invoice has been issued prior to the refund, the client must return the invoice for reversal; if unable to return it, NGS will deduct 8% of the invoice amount from the total refund.

The maximum refund is limited to the service fees actually paid by the client (excluding interest). NGS may deduct reasonable taxes/fees incurred in the transaction and any third-party fees already paid (e.g., learning account usage fees).
Breach of Contract

Both parties shall strictly perform all terms of the contract. If the performance of this contract becomes impossible due to breach by either party, the non-breaching party may terminate the contract and claim corresponding liabilities for breach.

Client breach:

If the client violates the confidentiality obligations and discloses NGS’s IP, data, or other materials to any third party, NGS may terminate this agreement, retain fees already received, and claim damages.

If, without prior notice to NGS, the client becomes unreachable through the agreed contact method, resulting in a failure to adjust class time in a timely manner, the affected class hours shall be deemed as delivered.

NGS breach:

If NGS discloses student personal information to non-affiliated third parties in violation of this agreement, the client may terminate this agreement and request a refund in accordance with the Refund Policy.

If NGS fails to provide services with the agreed quality and quantity, the client may terminate this agreement and request a refund in accordance with the Refund Policy.
Effectiveness and Miscellaneous

This agreement takes effect upon the client’s payment; class hour validity is 365 days.

This agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior consultations and agreements.

Any disputes arising from or in connection with the performance of this agreement shall first be resolved through consultation; failing which, both parties agree to submit the dispute to the People’s Court at the service provider’s domicile.

Unless expressly stated otherwise in writing, the email addresses agreed in this contract serve as the service addresses for communications, including in the event of disputes or litigation.
- This electronic agreement is made in duplicate; each party holds one copy with the same legal effect.
