服务范围与账户Services and Your Account

• NGS 通过 nextgenscholars.asia（以下简称 “NGS”）提供三类服务，各自适用本协议的相应条款：NGS provides three kinds of service through nextgenscholars.asia (hereinafter “NGS”). Each is governed by the corresponding clauses of this agreement:
  1. 订阅服务：SAT在线练习、雅思 AI 考试中心。按所选周期开通，在线使用。Subscriptions — the Digital SAT Question Bank and the IELTS AI Exam Center, opened for a chosen period and used online.
  2. 课程包：按课程包公示的总学时提供的系统课程。Course packages — structured courses delivered over the total study hours published for each package.
  3. 1 对 1 辅导与申请服务：按课时或按项目计费的辅导、竞赛与升学申请服务。One-to-one tutoring and admissions services — tutoring, competition and university-application services charged by class hour or by project.
• 部分功能无需注册、无需付款即可使用（“免费功能”）。免费功能按“现状”提供，NGS 可随时调整或停止，且不构成对任何付费服务的承诺。Some features can be used without an account and without payment (“free features”). Free features are provided as they are; NGS may change or withdraw them at any time, and they imply no commitment as to any paid service.
• 账户仅供本人使用。委托人及学员须妥善保管账户及密码，不得出租、出借、转让或与他人共享；因共享或泄露密码导致的损失，NGS 不承担责任。An account is for one person. The client and student shall keep the account and password safe and shall not rent out, lend, transfer or share it. NGS is not responsible for losses caused by sharing or disclosing a password.

订阅服务Subscriptions

• 订阅按所选周期一次性计费，价格以下单时页面公示为准：A subscription is charged once for the period chosen. The price is the one shown on the page at the time of order:
  1. SAT在线练习：月 99 元 / 季度 199 元 / 半年 399 元。Digital SAT Question Bank — 99 RMB monthly, 199 RMB quarterly, 399 RMB per half-year.
  2. 雅思 AI 考试中心：月 39 元 / 季度 69 元 / 半年 99 元。IELTS AI Exam Center — 39 RMB monthly, 69 RMB quarterly, 99 RMB per half-year.
• 订阅周期自开通之日起算，到期即结束，不会自动续费、不会自动扣款；需要继续使用的，请在到期后重新订阅。The period runs from the day the subscription is opened and ends when it expires. It does not renew automatically and no further payment is taken. To carry on, subscribe again after it expires.
• 订阅期内可使用该订阅公示包含的全部功能。NGS 可增补功能；如需移除已公示的主要功能，将提前在站内公告，且不影响已开通订阅在当期内的使用。During the period the subscriber may use everything the plan lists. NGS may add features. If a listed principal feature is to be withdrawn, NGS will give notice on the site beforehand, and subscriptions already open are unaffected for their current period.
• 题库、试卷、讲解、界面及 AI 生成的评语与评分结果，仅供订阅者本人学习使用。不得复制、翻录、导出、传播、转售，或用于任何商业用途。Question banks, papers, explanations, the interface, and AI-generated comments and scores are for the subscriber’s own study only. They may not be copied, recorded, exported, distributed, resold, or used for any commercial purpose.
• 订阅服务依赖网络与第三方基础设施。因网络故障、第三方服务中断、不可抗力或依法进行的维护而造成的短时不可用，不视为违约；单次中断连续超过 72 小时的，订阅期相应顺延。The service depends on networks and third-party infrastructure. Short interruptions caused by network faults, third-party outages, force majeure or lawful maintenance are not a breach. Where a single interruption exceeds 72 consecutive hours, the subscription period is extended by the same amount.

AI 评分与练习数据AI Scoring and Practice Data

• AI 口语考官、AI 写作批改及各类段位换算，均为练习参考，用于帮助学员定位问题；不是任何考试机构出具的正式成绩，也不构成对实际考试结果的预测或保证。The AI Speaking examiner, AI Writing marking and every band conversion are practice references intended to help a student locate problems. They are not official results issued by any examination body, and are neither a prediction nor a guarantee of an actual test result.
• 使用 AI 口语与 AI 写作功能时，学员提交的录音与作文将交由 NGS 及其委托的第三方 AI 服务提供商处理，用于生成评分与评语。具体处理方式、保存期限与您的权利，见《隐私政策》。When the AI Speaking and AI Writing features are used, the recordings and essays a student submits are processed by NGS and the third-party AI providers it engages, in order to produce the score and the comments. How this is done, how long it is kept and what rights you have are set out in the Privacy Policy.
• 学员不得提交与练习无关的内容，不得提交他人个人信息、违法信息或侵犯他人权利的内容。A student must not submit material unrelated to the exercise, and must not submit other people’s personal information, unlawful material, or anything that infringes another person’s rights.

课程包与辅导服务的费用和付款Course and Tutoring Fees

服务费用以委托人在 nextgenscholars.asia 网站（以下简称 “NGS”）选购的课程包为准。委托人身份联系方式以付款时留下的邮箱地址为准。Service fees are based on the course package purchased on the nextgenscholars.asia website (hereinafter “NGS”). The client’s contact identity is the email address provided at the time of payment.

委托人权利义务Client Rights and Obligations

• 委托人及学员有权根据本合同及双方约定的时间表获得相应课程及配套服务。The client and student are entitled to receive the corresponding courses and supporting services according to this agreement and the mutually agreed schedule.
• 委托人及学员有权对 NGS 的服务进行监督和提出建议反馈。The client and student may supervise NGS’s services and provide suggestions and feedback.
• 委托人应按本协议规定向受托人支付全部的服务费用；未按约支付的，受托人有权拒绝提供服务。The client shall pay all service fees as stipulated herein; if payment is not made as agreed, NGS may refuse to provide services.
• 委托人及学员承诺提交的个人信息真实、完整、有效；如有变更，须在变更之日前三日内通知受托人。The client and student warrant that the personal information submitted is true, complete, and valid; any changes must be notified to NGS no later than three (3) days before the change takes effect.
• 自开课之日起【3】个课时内，委托人有权向 NGS 提出一次性更换导师；此后须完成本协议约定；或由 NGS 将学员安排进入相同级别未满员班级，具体情况双方协商。Within the first 3 class hours from the course start date, the client may request a one-time tutor change with NGS; thereafter, the agreement shall be performed as agreed, or NGS may arrange the student into another class of the same level with vacancies, as mutually agreed by both parties.
• 学员应按双方确认的时间表上课，做好签到、认真听讲并按时完成课后作业和任务。The student shall attend classes according to the confirmed schedule, check in each session, pay attention in class, and complete homework and tasks on time.
• 委托人及学员须妥善保管个人学习账户及密码；因密码泄露或与他人共享导致的资料泄露，NGS 不承担责任。The client and student shall properly keep their learning account and password. NGS is not responsible for any disclosure of personal information caused by password sharing or disclosure to third parties.
• 委托人及学员不得向 NGS 及其服务人员提出违反学术诚信的要求。The client and student shall not request any conduct that violates academic integrity from NGS or its staff.
• 委托人及学员应对本协议内容、知识产权、服务内容、数据、课程资料、报告、其他文件及 NGS 服务人员个人信息等严格保密。The client and student shall keep strictly confidential the contents of this agreement and any NGS intellectual property, service content, data, course materials, reports, other documents, and the personal information of NGS personnel obtained during the services.

NGS 的权利与义务NGS Rights and Obligations

• NGS 按时、按质、勤勉、尽责地履行本协议约定服务。NGS shall perform the services under this agreement on time, with due quality, diligence, and responsibility.
• 对委托人提供的个人信息及资料妥善保管并依法合规使用、披露或处理。NGS shall properly safeguard the personal information and materials provided by the client and use, disclose, or process such information in accordance with applicable laws and solely for the purposes of this agreement.
• 通过电子邮件与学员确认辅导计划与时间表并执行；如需调整，双方应在约定上课时间 24 小时或以上，通过电子邮件确认新的时间表。NGS will confirm the tutoring plan and schedule with the student via email and deliver services accordingly. If a schedule adjustment is required, both parties shall confirm the new schedule via email at least 24 hours before the original class time.
• 服务过程中听取合理意见与建议，并据实调整或改善。During service delivery, NGS will consider reasonable opinions and suggestions and make adjustments or improvements as appropriate.
• 为保证质量，品控部门将定期进行电话及邮件回访。To ensure service quality, NGS’s quality control team may conduct periodic phone or email follow-ups.
• 辅导课程的知识产权及其他权益归 NGS 所有。未经授权，不得复制、翻录、共享、牟利或从事其他侵权活动。All intellectual property and other rights in the tutoring courses belong exclusively to NGS. Without prior authorization, the client shall not copy, record, share, monetize, or otherwise engage in activities that infringe relevant IP laws with respect to any resources, including online courses, electronic materials, classroom handouts, etc.
• 因 NGS 故意或过失造成委托人或学员损失的，NGS 依法承担责任；造成人身损害的，不适用任何免责约定。对不可归责于 NGS 的第三方行为或不可抗力所致损失，NGS 不承担责任。Where NGS causes loss to the client or student intentionally or negligently, NGS is liable at law; no exclusion of liability applies to personal injury. NGS is not liable for loss caused by third-party acts or force majeure that are not attributable to it.

退费政策Refund Policy

• 订阅服务的退费：Refunds for subscriptions:
  1. 自开通之日起 7 日内，且未使用过该订阅的任何付费专属功能的，可申请全额退款。Within 7 days of opening, and provided no paid feature of that subscription has been used, a full refund may be requested.
  2. 自开通之日起 7 日内已使用付费专属功能的，按实际已使用天数折算扣除后退还余额；超过 7 日的，按当期剩余的完整自然月折算退还。每项订阅均设有无需付款的免费功能，供您在订阅前先行评估。If a paid feature has been used within those 7 days, the days actually used are deducted and the balance refunded. After 7 days, the whole calendar months remaining in the period are refunded. Each subscription has free features, available without payment, so that it can be evaluated before purchase.
  3. 因 NGS 原因导致订阅服务在当期内整体无法使用且未按前述条款顺延的，可按未使用天数比例退还当期费用。If, through NGS’s own fault, a subscription is wholly unusable during its period and has not been extended as provided above, the fee for that period is refundable in proportion to the days unused.
  4. 退款在 NGS 收到书面申请后 15 个工作日内原路径退回。Refunds are returned to the original payment method within 15 business days of NGS receiving the written request.
• 课程包与辅导服务：课程开始前提出退费或解约的，委托人有权要求全额退费；NGS 在收到书面申请后 15 个工作日内原路径退款，退款完成后协议终止。For course packages and tutoring: if, before the course begins, the client requests a refund or termination of this agreement (other than circumstances already provided herein), the client is entitled to a full refund. NGS shall process the refund to the original payment method within 15 business days upon receipt of the client’s written request, after which this agreement terminates.
• 第一节课结束、第二节课开始前不满意且不接受更换导师的，扣除首节课（按本协议约定的单价计费）后退回剩余全部课时费用；NGS 在收到书面申请后 15 个工作日内原路径退款，退款完成后协议终止。If, after the first session and before the second session begins, the client is dissatisfied with the course and does not accept a tutor change, the client is entitled to a refund of all remaining class fees after deducting the first session at the unit price agreed in this contract. NGS shall refund to the original payment method within 15 business days upon receipt of the client’s written request, after which this agreement terminates.
• 参与第二节课程视为对该课程服务满意；此后服务期间，委托人有权要求更换导师或服务人员。Participation in the second session is deemed acceptance of the service quality; thereafter, during the service period, the client may request a change of tutor or service personnel.
• 第二节课开始后退费或解约的：For refund or termination requests after the second session (other than circumstances already provided herein):
  1. 已上课时 ≥ 约定课时的 50%（含）时，按本协议约定的优惠课单价计费，扣除实际发生课时费后退回剩余费用。If attended class hours are ≥ 50% of the contracted hours, fees will be calculated at the discounted unit price under this agreement; the actual incurred class fees will be deducted and the balance refunded.
  2. 已上课时 < 50% 时，按本协议实际成交的课时单价计费，扣除实际发生课时费后退回剩余费用；退费结算所用单价不高于委托人实际支付的单价。If attended class hours are < 50% of the contracted hours, fees are calculated at the unit price actually agreed in this contract, the class fees actually incurred are deducted and the balance is refunded. The rate used to settle a refund is never higher than the rate the client actually paid.
  3. NGS 在委托人正式提出退费或解约申请后 15 个工作日内原路径退款，退款完成后协议终止。NGS will refund to the original payment method within 15 business days after receiving the client’s formal refund or termination request; once refunded, this agreement terminates.
  4. 如已开具发票，委托人须退回发票以冲红；无法退回的，NGS 将在退款总额基础上扣除发票金额 8% 的税费。If an invoice has been issued prior to the refund, the client must return the invoice for reversal; if unable to return it, NGS will deduct 8% of the invoice amount from the total refund.
• 退费上限为委托人已支付的服务费（不含利息）；NGS 有权扣除交易合理税费及已向第三方实际支付且不可退还的费用，此类扣除须逐项列明金额与凭证。The maximum refund is limited to the service fees actually paid by the client (excluding interest). NGS may deduct reasonable transaction taxes and fees, and third-party fees it has actually paid and cannot recover; any such deduction must be itemised with its amount and supporting record.

违约责任Breach of Contract

• 任一方违约导致合同无法继续履行的，守约方有权解除并要求违约方承担相应责任。Both parties shall strictly perform all terms of the contract. If the performance of this contract becomes impossible due to breach by either party, the non-breaching party may terminate the contract and claim corresponding liabilities for breach.
• 委托人违约：Client breach:
  1. 违反保密约定泄露 NGS 知识产权、数据或资料的，NGS 有权解除协议且已收取费用不予退还，并可主张损失赔偿。If the client violates the confidentiality obligations and discloses NGS’s IP, data, or other materials to any third party, NGS may terminate this agreement, retain fees already received, and claim damages.
  2. 未提前告知且通过约定方式无法联系，致使未能及时修改上课时间的，相关课时视为实际发生。If, without prior notice to NGS, the client becomes unreachable through the agreed contact method, resulting in a failure to adjust class time in a timely manner, the affected class hours shall be deemed as delivered.
• NGS 违约：NGS breach:
  1. 违反约定向非关联第三方泄露学员个人信息的，委托人有权解除并主张退费，按退费政策执行。If NGS discloses student personal information to non-affiliated third parties in violation of this agreement, the client may terminate this agreement and request a refund in accordance with the Refund Policy.
  2. 未能按质按量提供服务的，委托人有权解除并主张退费，按退费政策执行。If NGS fails to provide services with the agreed quality and quantity, the client may terminate this agreement and request a refund in accordance with the Refund Policy.

生效及其他Effectiveness and Miscellaneous

• 本协议于委托人付款时成立生效。课时包的课时有效期为 365 天；课程包按其页面公示的学制（1 年或 2 年）执行；订阅按所选周期执行。课时包到期仍有未消耗课时的，委托人可申请延期或按实际成交单价退还未消耗部分。This agreement takes effect upon the client’s payment. Hours in an hour package are valid for 365 days; a course package runs for the duration published on its page (one or two years); a subscription runs for the period chosen. Where hours remain unused when an hour package expires, the client may ask for an extension or for the unused part to be refunded at the unit price actually agreed.
• 本协议构成双方就本标的达成的全部协议，并取代此前所有磋商或协议。This agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior consultations and agreements.
• 因履行本协议发生争议的，应先协商；不成时，双方一致同意向受托人住所地人民法院提起诉讼。Any disputes arising from or in connection with the performance of this agreement shall first be resolved through consultation; failing which, both parties agree to submit the dispute to the People’s Court at the service provider’s domicile.
• 除特别书面声明外，本合同所约定的电子邮件为双方通讯送达地址，并适用于争议或诉讼。Unless expressly stated otherwise in writing, the email addresses agreed in this contract serve as the service addresses for communications, including in the event of disputes or litigation.
• 本电子协议一式两份，双方各执一份，具有同等法律效力。This electronic agreement is made in duplicate; each party holds one copy with the same legal effect.
